License Agreement

for the Use of 1С-BASIS:Manufacturing

This License Agreement (hereinafter referred to as the "Agreement") is a legal agreement between you (an individual or a legal entity) (hereinafter referred to as the "User") and BASIS-Center LLC (Russia, Kolomna) (hereinafter referred to as the "Licensor") for the transfer of non-exclusive rights to use 1C-BASIS:Manufacturing (hereinafter referred to as the BASIS Software).

PLEASE READ THE TERMS AND CONDITIONS OF THIS AGREEMENT CAREFULLY BEFORE STARTING TO USE THE BASIS SOFTWARE.

This Agreement is deemed concluded from the moment you start using the BASIS Software.

This Agreement is valid throughout the entire period of the User's lawful use of the BASIS Software, within the term of the Licensor's copyright for the BASIS Software, provided that the User duly complies with the terms of this Agreement. If any provision of this Agreement becomes invalid, void, or unenforceable, the remaining provisions shall remain in full force and effect.

This Agreement specifies the full scope of rights granted to you concerning the BASIS Software, and all conditions and restrictions on its use, unless otherwise agreed upon in separate agreements (contracts) between you and the Licensor.
You are entitled to use the BASIS Software only under the terms of this Agreement, unless otherwise specifically agreed upon in other contracts or agreements with the Licensor.

If you do not agree to unconditionally accept the terms of this Agreement, you are not entitled to use the BASIS Software.

Violation of the terms of this Agreement entails liability in accordance with the current legislation of the Russian Federation.

1. Terms and Definitions of this Agreement
1.1. Licensor - BASIS-Center LLC, registered at the address: 140407, Russia, Moscow Region, Kolomna, Shilova str., 15B, office 11.
1.2. Decompilation – the process of recreating the source code using a decompiler (a program that translates an executable module (obtained from the compiler output) into a relatively equivalent source code in a high-level programming language).
1.3. Disassembly – the process and/or method of obtaining the source text of a program in assembly language from a program in machine codes.
1.4. BASIS Software Contract - the contract under which the non-exclusive rights to the BASIS Software are transferred to the User.

2. General Provisions
2.1. The term BASIS Software includes 1C-BASIS:Manufacturing, libraries and applications (additional software) included in 1C-BASIS:Manufacturing, and any of its updates and modifications. The conditions stipulated below apply both to the BASIS Software as a whole and to all its components individually.
2.2. All exclusive rights to the BASIS Software, additional software for the BASIS Software, any copies or components (parts) of the BASIS Software (including texts (including documentation for the BASIS Software or its part)), are the property of the Licensor and are protected by the legislation of the Russian Federation on copyright, as well as by the provisions of this Agreement. Copies of the documents are posted on the global internet at www.bazissoft.ru/about/certificate.

3. Types of BASIS System Licenses, Licensing Rights for Their Use, and Restrictions
3.1. Simple non-exclusive license – a fully functional license for the BASIS Software, consisting of one or more modules depending on the configuration you have chosen. It is granted by the Licensor to both individuals and legal entities on an irrevocable basis for the entire duration of the Licensor's exclusive rights, unless otherwise stipulated in separate contracts and/or agreements with the Licensor and/or its authorized representatives.
3.2. The number of BASIS Software licenses you use simultaneously at any time shall not exceed the number of licenses you have lawfully acquired, unless otherwise stipulated by a separate contract or agreement with the Licensor. The number of computers with the Software installed on them or the number of potential users of the Software is not limited.

4. User's Rights
In addition to other rights expressly stated in this Agreement, the User has the right to perform the following actions:
4.1. The User has the right to permanently transfer all their rights under this Agreement once, directly to another End User.
4.2. Re-registration of the License Agreement to another User may be carried out based on a written request from the current User exclusively to the Licensor. Its representatives or any third parties may act only as information intermediaries.
4.3. The transfer must apply to the entire BASIS Software (including all components, media, and printed materials, as well as any updates).
4.4. The person receiving the BASIS Software as a result of such one-time transfer must agree to all the terms of this Agreement, including the obligation not to transfer this Agreement and the BASIS Software to anyone else. Such written confirmation must also be sent to the Licensor.
4.5. In addition to other rights expressly stated in this Agreement, the User has the right to use the BASIS Software to its full extent in accordance with its functional purpose in any country of the world.
4.6. The User has the right to all results obtained using the BASIS Software.
4.7. The User has the right, if necessary, to use the Licensor's name in relation to the BASIS Software for advertising purposes, with mandatory prior notification to the Licensor.

5. Restrictions
In addition to other restrictions expressly stated in this Agreement, and unless otherwise stipulated by a separate contract or agreement with the Licensor, this Agreement imposes the following restrictions:
5.1. This Agreement does not grant the User any rights to the Licensor's and its partner companies' means of individualization, including (but not limited to) the trademarks and service marks of the Licensor and its partner companies.
5.2. The User is not entitled to reverse engineer technology, decompile, or disassemble the BASIS Software, nor otherwise determine the source code of the BASIS Software or expand its functionality by combining it with other software.
5.3. The User is not entitled to use the BASIS Software with a deliberately removed or damaged internal protection mechanism.
5.4. The User is not entitled to use the BASIS Software in violation of the terms of this Agreement and/or in violation of the Licensor's copyright and/or local legislation.

6. Term of the Agreement
6.1. In the event of lawful acquisition of rights to use the BASIS Software or its components, this Agreement is valid for the term stipulated in clause 3.
6.2. This Agreement terminates, and the rights are considered lost by you, if you violate any of the terms of this Agreement, and also if you exercise the rights specified in clause 4.1 of this Agreement.

7. Licensor's Warranties
7.1. The Licensor gives no warranties, sets no conditions, and makes no representations, either express or implied, by law, custom, practice, or otherwise, except that the BASIS Software generally conforms to its purpose and technical descriptions.
7.2. The BASIS Software and its accompanying documentation are provided to the End User "AS IS", in accordance with the principle generally accepted in international practice. This means that the Licensor is not liable for problems arising during the installation, updating, support, and operation of the Software (including: compatibility issues with other software products (packages, drivers, etc.), problems arising from ambiguous interpretation of the accompanying documentation, discrepancies between the results of using the Software and the User's expectations, etc.).
7.3. The Licensor does not accept warranties not provided for by this Agreement and/or applicable law.

8. Limitation of Liability
8.1. The Licensor shall not be liable for any direct or indirect damages, including lost profits, loss of confidential information, arising from the use or inability to use the BASIS Software, including due to possible errors or typos in the technical documentation provided in electronic or printed form.
8.2. The Licensor is not responsible for the operability of the BASIS Software in case of damage to the User's storage media, actions of computer viruses, power failures, equipment malfunctions, intentional damage, or violations of operating instructions (attempts to crack protection, etc.).
8.3. The Licensor is not responsible for problems in the operation of the BASIS Software related to the use of counterfeit system, network, or application software (operating systems, office applications, utilities, etc.).
8.4. The Licensor does not initiate or control the User's placement of any information during the use of the Program, does not influence its content and integrity, and at the time of its placement does not know and cannot know whether it violates the legally protected rights and interests of third parties, international treaties, and applicable legislation.

9. Technical Support
9.1. The Licensor provides technical support for BASIS Software licenses during the period specified in the BASIS Software Contract, according to the Technical Support Rules described on the page https://baz-plus.ru/1cprod/doc/support.

10. Consent to Use of Information
10.1. The User is hereby notified and agrees that the Licensor may collect, store, process, and use diagnostic, technical, ancillary information, and information about the use of the BASIS Software, including, but not limited to, unique system or hardware identifiers, information about the computer and equipment, system software and applications, peripheral devices, the use of various modules and functionalities of the BASIS Software, problems in the operation of the BASIS Software, which is periodically collected in order to improve the BASIS Software, provide Technical support and services related to the BASIS Software (if such are provided). The Licensor may use this information, which does not identify the User, for the purposes described above.
10.2. The User is hereby notified and agrees that the Licensor may collect, store, use, and process information about the use of the BASIS Software for the purpose of providing Technical support to Users, as well as informing about the specifics of the BASIS Software's operation.
